Strengthening Singapore-Vietnam ties: President Mr Teo Ser Luck with Consul-General of Singapore in Ho Chi Minh City, Mr Pang Te Cheng

The Professional Services (PS) Centre @ Ho Chi Minh City has officially opened, providing a one-stop hub for businesses seeking to expand into Vietnam’s dynamic economy.

Through the PS Centre, enterprises can:

• Access professional services expertise in areas such as accountancy, law, tax, valuation, and corporate advisory.

• Tap into trusted local partners and networks for in-market insights and opportunities.

• Build cross-border connections that support long-term, sustainable growth.

The launch was graced by Consul-General of Singapore in Ho Chi Minh City, Mr Pang Te Cheng, and attended by business leaders and associations from both Singapore and Vietnam, highlighting strong support for deeper collaboration between our two economies.

This is a collective effort by The Alliance, bringing together eight founding partners to help enterprises thrive regionally.

Strengthening International Tax Partnerships

Xin chào quý vị đại biểu, distinguished guests, partners, and friends.

1. Good afternoon. It is an honor to stand here on behalf of the Tax Academy of Singapore to celebrate the launch of the PS Centre in Ho Chi Minh, Vietnam. Thanks to ISCA Singapore for inviting us to be a founding member of this initiative.

Who We Are & Why we are Unique

2. Established in Aug 2006, we are unique because of our tri-partite model – bringing together the best of government, industry and academia.

3. Government – We are owned by the Inland Revenue of Singapore but exist as a separate legal entity. The CEO has always been one of the Deputy Commissioners; in my DC role, I look after the Indirect Taxes (GST, Property Taxes, Stamp Duties), Law and Investigation Group.   

4. Industry – Our Board of Directors are drawn from the Big 4 International accounting firms, Law Society, Leading Universities and even ISCA!

5. Academia – We have launched the Singapore Tax Academy Research Initiative (or STARI) in partnership with Singapore Management University (SMU).  The focus is on world-class international tax research with an Asian emphasis, and to build global networks.

Why Work with Us?

6. Historically, our courses and seminars are largely domestic-driven.  Our core Level 1, 2 and 3 tax programmes in Income Tax and GST are recognised for accreditation in Singapore.   

7. But today, the Tax scene has become much more international.

8. BEPS (or Base Erosion Profit Shifting) is the best example.

9. Accounting rules aim to give a true and fair view of a company’s financial performance.  And each country sets its own corporate income tax rules – to tax company profits where business activities occur.

10. BEPS adds a new layer of international complexity. The starting point is to ensure a global minimum tax on large MNEs – it is about co-ordination across borders, to prevent tax avoidance.

11. Put in another way - Accounting asks “What is the company earning?” while BEPS asks, “Where (in the world) should those earnings be taxed?”

12. Let me shed some light on how BEPS rule have diverged significantly from traditional Corporate Income Tax rules. What new concepts do you need to know?

a. Jurisdictional Effective Tax Rate (ETR) – with BEPS you need to calculate an ETR for each jurisdiction (and not group wide). You cannot blend,  each country stands alone – you need to prepare granular, jurisdiction-by-jurisdiction reconciliations.

b. Top-Up Tax and Minimum 15% Rate – if the jurisdictional ETR is less than 15%, a top-up tax is charged to bring it up to 15%. BEPS ignores national sovereignty here. So even if a specific country sets its corporate income tax rate at say 10%, the group still pays 15% overall, either locally (QDMTT) or elsewhere (IIR/UTPR).

c. Qualified Domestic Minimum Top-Up Tax (QDMTT) – the mechanism for a country to collect the difference in tax locally.  If you don’t implement the QDMTT, another jurisdiction can take the revenue. Both Singapore and Vietnam have implemented our versions of the QDMTT. This adds another layer of compliance and reporting.

d. Income Inclusion Rules (IIR) & Undertaxed Payments Rule (UTPR); the UTPR is allows other countries to deny deductions or impose tax to collect the shortfall.  This is an extra-territorial taxing right – quite a revolutionary shift! And then there are safe harbours, transitional rules, simplified calculations and more.

13. Some may say, the in-scope MNEs for BEPS are corporates with revenues of at least 750 Euro million a year in at least 2 of the 4 preceding fiscal years. So, not many corporates are impacted.

14. But this is based on annual consolidated financial statements of the ultimate parent entity (UPE). OECD estimates 8,000 to 10,000 MNE groups that are in scope. They operate across jurisdictions, with businesses, permanent establishments, branches, joint ventures all over Asia. Your client may be a relatively small company, but if the ultimate parent entity is in-scope, then BEPS is for you.

15. I am not an expert in BEPS but I have sat through enough talks to say that it is a whole new tax world, with its own set of rules, and uncertainties. And speaking of uncertainty, on 28 June 2025, the G7 Finance Ministers announced this ‘side by side’ agreement on BEPS Pillar Two and US-parented MNEs, where US-parented groups would be excluded from the IIR and UTPR, in recognition of USA’s own minimum tax regimes (like GILTI).

16. I went into some detail to demonstrate the urgent need ot train and upskill all our professionals. This Singapore Master Tax Guide to BEPS 2.0 was recently published by 3 Singaporean co-authors and supported by Tax Academy.  (We brought limited copies)

17. Tax Academy is developing a comprehensive e-learning programme on BEPS – stayed tuned for its launch later this year!

18. Beyond BEPS, there are other international tax topics like taxation of the digitalised economy, transfer pricing challenges, indirect taxes and VAT, Tax Certainty and Dispute resolution and more.

Conclusion – Let’s Work Together!

19. Vietnam is one of ASEAN’s most dynamic economies. With this growth comes complexity and the need for more training. Let work together to develop tax programmes tailored to your market, do joint research on areas of mutual interest.

20. The future of tax is global, digital, and, most importantly, collaborative. Let’s work together to build a tax profession that is not only ready for today but is also equipped for tomorrow’s opportunities.

Tôi rất vinh dự được đứng đây, thay mặt cho Học viện Thuế Singapore (Tax Academy of Singapore), để kỷ niệm Lễ ra mắt Trung tâm PS (PS Centre) tại Thành phố Hồ Chí Minh, Việt Nam. Cảm ơn ISCA Singapore đã mời chúng tôi trở thành một trong những thành viên sáng lập của sáng kiến này.

Chúng tôi là ai và tại sao chúng tôi độc đáo?

2. Được thành lập vào tháng 8 năm 2006, chúng tôi độc đáo nhờ mô hình ba bên – quy tụ những tinh hoa của chính phủ, ngành và giới học thuật.

3. Chính phủ: Chúng tôi thuộc sở hữu của Cục Doanh thu Nội địa Singapore (Inland Revenue Authority of Singapore) nhưng hoạt động như một pháp nhân riêng biệt. Giám đốc điều hành (CEO) luôn là một trong các Phó Tổng Cục trưởng; với vai trò Phó Tổng Cục trưởng, tôi phụ trách nhóm các loại thuế gián tiếp (Thuế Hàng hóa và Dịch vụ (GST), Thuế tài sản, Thuế trước bạ), Pháp luật và Điều tra.

4. Ngành: Hội đồng quản trị của chúng tôi bao gồm các thành viên từ 4 công ty kế toán quốc tế lớn, Đoàn Luật sư, các trường đại học hàng đầu và thậm chí cả ISCA!

5. Giới học thuật: Chúng tôi đã ra mắt Sáng kiến Nghiên cứu Học viện Thuế Singapore (STARI) với sự hợp tác của Đại học Quản lý Singapore (SMU). Trọng tâm là nghiên cứu thuế quốc tế đẳng cấp thế giới, đặc biệt tập trung vào châu Á và xây dựng các mạng lưới toàn cầu.

Tại sao nên làm việc với chúng tôi?

6. Trước đây, các khóa học và hội thảo của chúng tôi chủ yếu phục vụ nhu cầu trong nước. Các chương trình thuế cốt lõi Cấp độ 1, 2 và 3 về Thuế thu nhập và GST của chúng tôi được công nhận tại Singapore.

7. Nhưng ngày nay, lĩnh vực thuế đã trở nên mang tính quốc tế hơn nhiều.

8. BEPS (Chống xói mòn cơ sở thuế và chuyển lợi nhuận) là một ví dụ điển hình nhất.

9. Các quy định kế toán nhằm cung cấp một cái nhìn trung thực và hợp lý về hiệu quả tài chính của một công ty. Và mỗi quốc gia đặt ra các quy tắc thuế thu nhập doanh nghiệp riêng – để đánh thuế lợi nhuận của công ty tại nơi các hoạt động kinh doanh diễn ra.

10. BEPS bổ sung một lớp phức tạp mới mang tính quốc tế. Điểm khởi đầu là đảm bảo áp dụng mức thuế tối thiểu toàn cầu đối với các công ty đa quốc gia (MNE) lớn – đó là sự phối hợp xuyên biên giới, nhằm ngăn chặn hành vi trốn thuế.

11. Nói cách khác – Kế toán hỏi “Công ty đang kiếm được gì?” trong khi BEPS hỏi “Những khoản thu nhập đó nên được đánh thuế ở đâu (trên thế giới)?”

12. Để tôi làm rõ hơn về cách các quy tắc của BEPS đã khác biệt đáng kể so với các quy tắc Thuế thu nhập doanh nghiệp truyền thống. Những khái niệm mới nào mà các bạn cần biết?

a. Tỷ suất thuế thực tế (ETR) theo từng khu vực pháp lý: Với BEPS, bạn cần phải tính toán ETR cho từng khu vực pháp lý (chứ không phải cho cả tập đoàn). Bạn không thể gộp lại; mỗi quốc gia phải đứng độc lập – bạn cần phải lập các bảng đối chiếu chi tiết, theo từng khu vực pháp lý.

b. Thuế bổ sung (Top-Up Tax) và mức thuế tối thiểu 15%: Nếu ETR theo khu vực pháp lý thấp hơn 15%, một khoản thuế bổ sung sẽ được áp dụng để nâng mức thuế lên 15%. BEPS bỏ qua chủ quyền quốc gia ở đây. Vì vậy, ngay cả khi một quốc gia cụ thể đặt mức thuế thu nhập doanh nghiệp ở mức 10%, tập đoàn vẫn phải trả tổng cộng 15%, dù là tại địa phương (QDMTT) hay ở nơi khác (IIR/UTPR).

c. Thuế Bổ sung Tối thiểu Nội địa Hợp chuẩn (QDMTT): Cơ chế để một quốc gia thu phần thuế chênh lệch tại địa phương. Nếu bạn không áp dụng QDMTT, một quốc gia khác có thể thu khoản doanh thu đó. Cả Singapore và Việt Nam đều đã áp dụng phiên bản QDMTT của mình. Điều này bổ sung thêm một lớp nghĩa vụ tuân thủ và báo cáo.

d. Quy tắc Thu nhập Bị bao gồm (IIR) & Quy tắc Thanh toán Chịu thuế thấp (UTPR): UTPR cho phép các quốc gia khác từ chối khoản khấu trừ hoặc áp thuế để thu phần thiếu hụt. Đây là một quyền đánh thuế ngoài lãnh thổ – một sự thay đổi mang tính cách mạng! Và còn có các điều khoản an toàn, các quy tắc chuyển tiếp, các tính toán đơn giản hóa, v.v.

13. Một số người có thể nói, các MNE thuộc phạm vi áp dụng của BEPS là các công ty có doanh thu ít nhất 750 triệu euro một năm trong ít nhất 2 trong 4 năm tài chính liền trước. Vì vậy, không có nhiều công ty bị ảnh hưởng.

14. Nhưng điều này dựa trên báo cáo tài chính hợp nhất hàng năm của công ty mẹ cuối cùng (UPE). OECD ước tính có từ 8.000 đến 10.000 tập đoàn MNE thuộc phạm vi áp dụng. Họ hoạt động trên nhiều khu vực pháp lý, với các doanh nghiệp, cơ sở thường trú, chi nhánh, liên doanh trên khắp châu Á. Khách hàng của bạn có thể là một công ty tương đối nhỏ, nhưng nếu công ty mẹ cuối cùng thuộc phạm vi áp dụng, thì BEPS dành cho bạn.

15. Tôi không phải là chuyên gia về BEPS nhưng tôi đã tham dự đủ các buổi nói chuyện để khẳng định rằng đây là một thế giới thuế hoàn toàn mới, với các bộ quy tắc và sự không chắc chắn riêng. Và nói về sự không chắc chắn, vào ngày 28 tháng 6 năm 2025, các Bộ trưởng Tài chính G7 đã công bố thỏa thuận ‘song hành’ về Trụ cột Hai của BEPS và các MNE có công ty mẹ tại Hoa Kỳ, theo đó các tập đoàn có công ty mẹ tại Hoa Kỳ sẽ được loại trừ khỏi IIR và UTPR, nhằm công nhận các chế độ thuế tối thiểu riêng của Hoa Kỳ (như GILTI).

16. Tôi đã đi vào chi tiết để minh họa sự cần thiết cấp bách phải đào tạo và nâng cao kỹ năng cho tất cả các chuyên gia của chúng ta. Cuốn “Singapore Master Tax Guide to BEPS 2.0” (Cẩm nang Thuế tổng hợp Singapore về BEPS 2.0) này gần đây đã được xuất bản bởi 3 đồng tác giả người Singapore và được Học viện Thuế hỗ trợ. (Chúng tôi đã mang theo một số lượng bản in hạn chế)

17. Học viện Thuế đang phát triển một chương trình học trực tuyến toàn diện về BEPS – hãy theo dõi để biết thông tin ra mắt vào cuối năm nay!

18. Ngoài BEPS, còn có các chủ đề thuế quốc tế khác như đánh thuế nền kinh tế số, các thách thức về giá chuyển nhượng, thuế gián tiếp và thuế VAT, sự chắc chắn về thuế và giải quyết tranh chấp, v.v.

Kết luận – Hãy cùng hợp tác!

19. Việt Nam là một trong những nền kinh tế năng động nhất của ASEAN. Cùng với sự phát triển này là sự phức tạp và nhu cầu đào tạo nhiều hơn. Hãy cùng nhau hợp tác để phát triển các chương trình thuế phù hợp với thị trường của các bạn, thực hiện các nghiên cứu chung về các lĩnh vực cùng quan tâm.

20. Tương lai của ngành thuế mang tính toàn cầu, kỹ thuật số và, quan trọng nhất, mang tính hợp tác. Hãy cùng nhau hợp tác để xây dựng một nghề thuế không chỉ sẵn sàng cho hôm nay mà còn được trang bị cho các cơ hội của ngày mai.
